Generelt

Board Network – The Danish Professional Directors Association er et eksklusivt og professionelt netværk for erfarne bestyrelsesmedlemmer i danske virksomheder, organisationer og erhvervsdrivende fonde, dvs. med bestyrelsesposter registrerede under Erhvervs- & Selskabsstyrelsen (eller tilsvarende, internationale registre). Dette for at tilsikre størst mulig grad af reel berigende interaktion medlemmerne imellem.

Board Network fokuserer på Excellence in the Boardroom. Vægten er dermed lagt på værdiskabelsen gennem den fremadskuende strategiske og ledelsesmæssige opgave, og i mindre grad på den bagudrettede kontrolopgave i bestyrelsesarbejdet.

Netværksaktiviteter og Kommunikation

Board Network – The Community

The Board Network holds a minimum of 3 annual, closed member meetings in The Community each year, as well as the Great Danish Board Conference, which is open to participation for all. Membership gives access to all member meetings as well as the Great Danish Board Conference. There is an obligation to register no later than two working days before the meeting is held if you wish to participate.

The closed member meetings are typically held with a duration of 4 hours, but the format, time and place can be changed from time to time.

Board Network – The Chambers

Board Network – The Chambers er vores mindre netværksgrupper på max. 20 medlemmer hver, hvor alle medlemmer får adgang til de seneste trends, den nyeste forskning, de dygtigste facilitatorer, de skarpeste indlægsholdere – samt ikke mindst et mindre og fortroligt peer-to-peer forum med de allerbedste betingelser for sparring, vidensdeling og erfaringsudveksling. I The Chambers mødes vi fem gange om året i et roundtable-format, typisk 4-5 timer ad gangen.  

Board Networks sekretariat fastlægger agendaen for samtlige medlemsmøder, og tager typisk udgangspunkt i konkrete cases samt inspirerende indlæg fra nogle af Danmarks og verdens førende bestyrelsesformænd og eksperter.

Det subsidiære formål med netværket er bestyrelsesmedlemmernes unikke mulighed for sparring med ligesindede og adgangen til sparring i et fortroligt forum. Således er medlemmerne underlagt tavshedspligt over for tredjemand. Alle møder afholdes under The Chatham House Rule.

Ved medlemsmøderne udarbejdes en deltageroversigt med angivelse af navn, titel samt virksomhed. Desuden gøres opmærksom på, at der kan blive taget fotos og/eller optaget video, som senere kan blive brugt af os i såvel interne som eksterne sammenhænge.

Board Network kommunikerer fortrinsvist via email, egen website (www.boardnetwork.dk) samt via lukkede LinkedIn-grupper. Board Networks email-korrespondance er ikke krypteret, og Board Network er ikke ansvarlig for vira, uautoriserede ændringer, uautoriseret overvågning, manipulation eller lignende som følge deraf. Tilsvarende gælder for informationssøgning og al anden brug af websiten.

Endelig udgiver Board Network den kvartårlige publikation ”Board Perspectives”, som udkommer i såvel hard-copy som i elektronisk format. Board Perspectives har fokus på alle emner inden for Board Leadership og Corporate Governance.

Board Network – The Chambers

Board Network – The Chambers are our smaller network groups of max. 20 members each, where all members get access to the latest trends, the latest research, the most skilled facilitators, the sharpest speakers – and not least a smaller and confidential peer-to-peer forum with the very best conditions for sparring, knowledge sharing and exchange of experience. In The Chambers, we meet five times a year in a roundtable format, typically 4-5 hours at a time.  

The Board Network’s secretariat determines the agenda for all member meetings, and typically takes as a starting point concrete cases and inspiring speeches from some of Denmark’s and the world’s leading board chairmen and experts.

The subsidiary purpose of the network is the board members’ unique opportunity for sparring with like-minded people and the access to sparring in a confidential forum. Thus, the members are subject to a duty of confidentiality towards third parties. All meetings are held under  The Chatham House Rule .

At the members’ meetings, a list of participants is drawn up, stating their name, title and company. In addition, please note that photos and/or video may be taken, which may later be used by us in both internal and external contexts.

Board Network mainly communicates via email, its own website ( www.boardnetwork.dk ) and via closed LinkedIn groups. Board Network’s email correspondence is not encrypted, and Board Network is not responsible for viruses, unauthorized changes, unauthorized monitoring, manipulation or the like as a result. The same applies to searching for information and all other use of the website.

Finally, Board Network publishes the quarterly publication “Board Perspectives”, which is published in both hard-copy and electronic format. Board Perspectives focuses on all topics within Board Leadership and Corporate Governance.

Medlemskab

When applying for membership of the Board Network, fill out the Board Network Application Form, which is attached to the CV, and sent to  info@boardnetwork.dk . Application for admission is binding.

If the application can be accepted and membership is granted, an invoice will be sent via email to the applicant. This invoice and associated receipt for payment also serve as documentation for membership. Membership is valid for one year at a time.

When signing up for membership, Board Network records the provided data that is necessary for Board Network’s business operations. The member is obliged to inform Board Network of any change in this information. Board Network’s membership register is not accessible to anyone other than Board Network.

Board Network does not allow outreach sales work towards Board Network’s other members and violation of this will result in a written warning with possible exclusion as a result.

Økonomi og Formalia

The membership fee is paid annually in advance and adjusted annually. Board Network’s payment terms are 8 days from the invoice date. Should it be necessary to advance payment, each advance will trigger a fee of DKK 100.

Membership is automatically renewed for one year at a time, unless membership is terminated in writing no later than one month before the renewal date, cf. issued invoice.

Possibly. additional services and/or products will be invoiced separately.

The membership fee is not refunded and is not refunded either in whole or in part as a result of force majeure, non-appearance, illness, cancellation or exclusion. If the due quota is not paid, the member can, if payment has not yet taken place, be excluded eight days after demand for payment.

The Community

Kontingentet for ”Personligt medlemskab” andrager pt. årligt kr. 13.000, excl. moms. Et ”Corporate medlemskab”, som gælder for to unavngivne personer af en virksomhedstopledelse andrager kr. 26.000 excl. moms pr. år. ”Bestyrelsens medlemskab” gælder for en fuld bestyrelse andrager pt. årligt kr. 39.000 excl. moms. Alle tre typer medlemskab omfatter alle udgifter til deltagelse i de 3 årlige, lukkede medlemsmøder samt Den Store Danske Bestyrelseskonference.

The Chambers

Medlemskabet af The Chambers er personligt og andrager pt. årligt kr. 22.000 excl. moms. For medlemskab af den særlige Chambers-kategori ”Bound for the Boardroom” andrager kontingentet pt. årligt kr. 22.000 excl. moms.

Ansvar

Synspunkter og anbefalinger i de eksterne taleres og skribenters indlæg eller fra leverandører af indhold skal altid forstås i den konkrete sammenhæng, hvor de er udtrykt, og samtidig er de ikke nødvendigvis i overensstemmelse med Board Networks synspunkter og anbefalinger, hvorfor Board Network aldrig kan holdes ansvarlig herfor.
